Version 1.0 — effective August 14, 2026. Last updated: August 14, 2026.
Closematic (the "Service") is operated by Closematic AI LLC ("Closematic", "we", "our", "us"). These Terms are a binding agreement between you and Closematic. By creating an account, subscribing, or using the Service, you accept them. If you do not accept them, do not use the Service.
The Service is for businesses. You are entering into this agreement on behalf of the business you represent, you are at least 18 years old, and you confirm you are authorized to bind that business.
You agree that we may communicate with you electronically — by email and inside the app — and that those communications satisfy any requirement that a notice be in writing.
Closematic helps you manage and improve your Google Business Profile: keeping your business information current, publishing updates, requesting reviews from your customers, and showing you a report of what changed.
The Service does not guarantee any business outcome. We do not promise a specific number of leads, appointments, calls, customers, or revenue, and we do not promise any particular ranking or position on Google or on any other platform. Those results depend on your market, your competitors, your pricing, how you respond to customers, and on decisions made by Google — none of which we control.
Features described on our website or inside the app as coming later are plans, not commitments. What you are buying is what the Service does today.
Your account is identified by the email address used to purchase. Keep your login credentials secure; you are responsible for activity that happens under your account. Tell us right away if you believe someone else has gained access to it.
One subscription covers one business. If you operate more than one business, each one needs its own subscription.
The Service is a paid subscription. The price, the billing period (monthly or annual) and the renewal date of your plan are the ones shown to you at checkout and repeated in your receipt. Payment is charged in advance for each period.
Your subscription renews automatically at the end of each period, at the then-current price for your plan, until you cancel. You can review your plan and cancel at any time in Profile → Billing, which opens your billing portal.
If we increase the price of your plan, we will tell you by email at least 30 days before the increase applies, and you may cancel before then.
Payments are processed by our billing provider. Your statement will show CLOSEMATIC.IO. Taxes, if any, are added according to your location.
If a payment fails, we may retry it and will let you know. We may suspend the Service while an invoice remains unpaid.
There is no minimum term, no lock-in and no cancellation fee. The subscription is period-to-period and you may cancel at any time.
If you are not satisfied, ask for a refund within 7 days of your first payment and we will refund it in full. No forms and no explanation required. Write to us at the address in section 21, or use the cancellation option in the app.
Open Profile → Billing in the app and cancel there. Because you subscribed online, you can cancel online: there is no phone call, no retention interview and no extra step. It takes effect at the end of the period you already paid for; you keep access until then, and you are not charged again. You can also cancel by writing to us at the address in section 21.
Canceling stops future charges. It is not, by itself, a refund request — for that, see section 6.
To do its job, the Service needs permission to access your Google Business Profile. You grant that permission through Google, and you can withdraw it at any time from your Google account or by disconnecting inside the app. We use that access only to operate the features you asked for, as described in our Privacy Policy, and in accordance with the Google API Services User Data Policy, including its Limited Use requirements.
Your Google Business Profile remains yours. We do not transfer ownership of it, and disconnecting does not remove content already published.
Google's own terms apply to your Profile. We are not affiliated with, endorsed by, or acting on behalf of Google.
The Service creates and publishes content to your Google Business Profile using information you provide about your business. That content is published in your name and is your responsibility.
You are responsible for making sure the information you give us is accurate — including licenses, certifications, years in business, service areas and any claim about your work. We check content against the information you provided and block what we cannot support, but we cannot verify facts about your business that only you know.
You may review, edit or remove content published through the Service at any time.
The Service helps you ask your customers for reviews. You agree to ask all customers, not only the ones you expect to be satisfied, and never to offer anything of value in exchange for a review or for a particular rating. You will not write, buy or solicit fake reviews.
These are rules set by Google and by consumer protection authorities, not by us. Breaking them can get your Profile penalized or removed, and we may suspend the Service if we become aware of it.
The Service lets you send messages to your customers, including SMS. Those messages are yours: you decide who receives them and what they say.
You are responsible for complying with the laws that govern them, including the Telephone Consumer Protection Act and equivalent state rules. That means: you must have the consent required to contact each recipient, you must honor opt-out requests such as STOP immediately, and you must not use the Service for unsolicited marketing messages.
If you record a call or a voice note in which someone else is speaking, you are responsible for obtaining the consent that the law of your state and of the other person's state requires. In several states, recording without the consent of everyone on the call is a criminal offense. We do not record calls on your behalf.
You agree not to:
We may suspend or terminate an account that breaks these rules. Where the breach is not serious and can be fixed, we will tell you first.
Everything you put into the Service — your business information, photos, and the content published to your Profile — remains yours. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, adapt and publish it, only as needed to operate the Service for you.
The Service itself, including its software, design and brand, remains ours. These Terms do not give you any right to it beyond using it while your subscription is active. If you send us suggestions, we may use them without obligation to you.
Your information stays available to you in the app until the end of your paid period. You may ask us for a copy at any time, and we will provide it.
Some information you put into the Service is not about you — it is about your customers: leads who fill in your forms, and people who speak in the voice notes you send us.
For that information, you are the business that decides what happens to it, and we act only on your instructions. We process it solely to provide the Service to you and for no other purpose. We do not sell it, we do not share it for advertising, we do not combine it with information from other customers, and we do not use it to train models. We certify that we understand and will comply with these restrictions.
You confirm that you have the right to give us that information and that you have provided any notice and obtained any consent the law requires. If you ask us to delete or correct it, we will do so, and we will pass on any legally required request we receive directly.
We will make available to you the information reasonably necessary to show we are meeting these obligations, and we will tell you if we determine we can no longer meet them.
The Service depends on platforms we do not control, including Google. If one of them changes its rules, its interfaces or its availability, features may change or stop working.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THIS MAY NOT APPLY TO YOU.
To the extent permitted by law, our total liability to you for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for lost profits, lost business, lost data or indirect, incidental, special, consequential or punitive damages, even if we were told they were possible.
These limits do not apply to your obligation to pay, to your indemnity under section 17, or to liability that cannot be limited by law — including fraud, willful misconduct and gross negligence.
You will defend and indemnify Closematic against any third-party claim, and any resulting loss, arising from: the information and content you give us or publish through the Service; the messages and recordings covered by section 11; your customers' information covered by section 14; or your use of the Service in breach of these Terms or of the law.
We will tell you promptly about any such claim and will not settle it without your agreement.
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law rules. Nothing here takes away any right you have under the mandatory consumer protection law of the state where you live.
Talk to us first. Before starting arbitration, send us a written description of the dispute and the relief you want, to the address in section 21. We will do the same. Most issues are resolved this way, and neither of us may start arbitration until 60 days after that notice.
If it is not resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, seated in Georgia or — at your choice — in the county where you live, or conducted remotely. The Federal Arbitration Act governs this section. We will pay the arbitration filing and arbitrator fees that exceed what it would cost you to file the same claim in court.
Individually, not as a class. Claims are brought only in an individual capacity, and not in a class, consolidated or representative action. Both of us waive the right to a jury trial. Either of us may instead bring an individual claim in small claims court.
You can opt out. If you do not want this arbitration section to apply, write to us at the address in section 21 within 30 days of first accepting these Terms, saying so and identifying your account. Opting out costs you nothing and changes nothing else in these Terms.
If the waiver of class or representative claims is held unenforceable for a particular claim, that claim — and only that claim — is decided in court, and the rest of this section still applies to everything else. Any claim must be brought within one year of when it arose, to the extent the law allows.
We may update these Terms. If a change materially affects your rights, we will notify you by email at least 30 days before it takes effect, and you may cancel before then if you disagree. Continuing to use the Service after a change takes effect means you accept it. Price changes are handled in section 4.
